These Terms and Conditions ("Terms") govern access to and use of the InsYte website, web application, services and associated functionality. Please read these Terms carefully before creating an account or using InsYte.

By creating an InsYte account, purchasing credits or using the InsYte service, you agree to these Terms.

If you are creating an account on behalf of a business or other organisation, you confirm that you have authority to accept these Terms on its behalf.

1. About InsYte

InsYte is a trading name of Why Go Digital Ltd.

In these Terms:

  • "InsYte", "we", "us" and "our" mean Why Go Digital Ltd.
  • "Customer", "you" and "your" mean the business, organisation or authorised person using InsYte.
  • "Account" means the registered InsYte customer account.
  • "Credits" means prepaid usage credits purchased or otherwise allocated to an Account.
  • "Direction" means an analysis, observation, recommendation, suggested action or other guidance generated through InsYte.

2. The InsYte service

InsYte is an AI-assisted business intelligence and digital performance platform.

InsYte is designed to help businesses understand information relating to areas including:

  • search engine optimisation (SEO);
  • AI search visibility;
  • website performance;
  • site health;
  • digital analytics;
  • advertising;
  • e-commerce;
  • products and services;
  • local visibility;
  • content;
  • competitors;
  • email;
  • social and other connected digital channels.

InsYte may combine information from multiple sources to identify patterns, issues, opportunities and potential actions.

The core InsYte process is designed around: Learns. Assimilates. Directs.

3. InsYte is a decision-support service

InsYte provides business intelligence and decision-support information.

InsYte does not replace the judgement of the Customer.

Directions, forecasts, scores, estimates, observations and other outputs generated by InsYte are provided to assist the Customer in making its own business decisions.

The Customer remains responsible for deciding whether to act upon any information or Direction provided by InsYte.

4. No guarantee of results

Digital and business performance is affected by many factors outside InsYte's control.

We therefore do not guarantee:

  • search-engine rankings;
  • website traffic;
  • sales;
  • revenue;
  • profit;
  • enquiries;
  • leads;
  • appointments;
  • conversion rates;
  • advertising performance;
  • competitor performance;
  • inclusion in AI-generated answers;
  • citation by AI systems;
  • recommendation by AI systems;
  • or any other particular commercial outcome.

Any Potential Impact displayed by InsYte is an estimate based on the information available at the time.

Potential Impact is not a guarantee of future performance.

5. AI-generated information

InsYte uses artificial intelligence and automated analysis as part of the service.

AI-generated information may occasionally be incomplete, inaccurate or require additional context.

Customers should review important recommendations before acting upon them.

Where InsYte identifies uncertainty or insufficient evidence, it may display terms such as:

  • Not Enough Data
  • Learning
  • Inconclusive
  • Low Confidence
  • Not Yet Quantifiable
  • or similar wording.

6. Customer registration

Customers must create an Account to use the InsYte web application.

Registration information may include:

  • name;
  • business name;
  • business sector;
  • business address;
  • email address;
  • username;
  • password;
  • and other information reasonably required to provide the service.

Customers must provide accurate and current information.

Customers must update their Account information if it changes.

7. Business accounts

InsYte is primarily intended for businesses and organisations.

A person registering a business confirms that they are authorised to create and administer the Account on behalf of that business.

The Customer is responsible for determining who within its organisation may access InsYte.

8. Username and password

Customers are responsible for keeping login credentials secure.

Passwords must not be shared with unauthorised persons.

If you believe that your Account or credentials have been compromised, you must notify us as soon as reasonably possible.

Why Go Digital Ltd will never need to know your password in order to provide normal administrative support.

9. Account number and activation code

InsYte may issue each business with a unique Account Number and, where required, an Activation Code.

These may be required to activate the InsYte service.

Account Numbers and Activation Codes must not be transferred to another business without our permission.

Activation Codes may be single-use and may cease to be valid following successful activation.

10. Account activation

Registration and payment do not necessarily mean that the InsYte service has been activated.

Where manual or automated account activation is required, the Account will show its current activation status.

The Customer will be informed when the Account is ready for activation.

We may carry out reasonable checks before activating an Account for security, fraud prevention or service administration purposes.

11. Free learning period

Where offered, eligible new Customers may receive a 30-day free Learning Period.

The Learning Period allows InsYte to begin establishing an understanding of the Customer's business and digital performance.

The Learning Period will normally begin when the Account has been activated and sufficient setup has been completed for InsYte to begin providing the service.

InsYte may begin providing useful analysis before the 30 days have elapsed where sufficient information is available.

The 30-day period is a commercial free period and does not represent a technical requirement for InsYte to collect 30 days of new data before providing analysis.

12. Data maturity

The amount and quality of information available to InsYte will affect the analysis it can provide.

InsYte may display a Data Maturity or Learning status.

This may depend upon factors including:

  • connected data sources;
  • historical information;
  • website analysis;
  • available business information;
  • number of observations;
  • measurement history;
  • and other relevant evidence.

Data Maturity is not determined solely by the age of the Account.

13. Connected services

Customers may be able to connect third-party platforms and services to InsYte.

These may include services such as:

  • Google Analytics;
  • Google Search Console;
  • Google Business Profile;
  • Google Ads;
  • Google Merchant services;
  • email platforms;
  • social platforms;
  • website systems;
  • and other supported services.

Available integrations may change over time.

14. Customer authority to connect data

The Customer must only connect accounts, websites, data and services that it is authorised to access.

By connecting a third-party service to InsYte, the Customer confirms that it has the necessary authority and permissions to allow InsYte to access and process the relevant information.

The Customer remains responsible for compliance with the terms and conditions of third-party services it connects to InsYte.

15. Third-party services

InsYte depends partly upon services operated by third parties.

We do not control the availability, functionality, policies or technical operation of those services.

A third-party provider may:

  • change its API;
  • change its permissions;
  • restrict access;
  • change pricing;
  • experience downtime;
  • withdraw functionality;
  • or discontinue a service.

We are not responsible for disruption caused solely by circumstances outside our reasonable control, although we will take reasonable steps to restore affected InsYte functionality where possible.

16. InsYte credits

InsYte operates a credit-based usage model unless otherwise expressly agreed.

Customers purchase Credits through the authenticated InsYte web application.

Credits may be consumed when using chargeable InsYte functions.

The number of Credits required for an action will normally be shown before the Customer confirms the chargeable action.

17. Credit packages

Available Credit packages and prices are displayed within the InsYte web application.

Current prices may also be displayed on the public InsYte website.

Prices may change from time to time.

Any price change will not retrospectively reduce Credits already purchased and allocated to an Account.

18. No compulsory subscription

Unless a separate service agreement expressly states otherwise, standard InsYte Accounts do not require a compulsory recurring subscription.

Customers purchase Credits according to their requirements.

19. Credit balance

The Customer's available Credit balance will be displayed within the InsYte application.

InsYte will maintain a transaction record of Credits added to and deducted from the Account.

Where practical, Credit transactions will identify the function or activity for which Credits were used.

20. Credit deductions

Credits should only be deducted for a chargeable action in accordance with the Credit cost displayed or otherwise agreed.

We will take reasonable steps to prevent duplicate Credit charges arising from technical retries or failed processing.

Where a chargeable InsYte operation fails without providing the service purchased, we may restore the relevant Credits where appropriate.

21. Credit expiry

Purchased Credits do not expire while the Customer's Account remains open and in good standing.

The applicable Credit-expiry policy is displayed before purchase.

22. Payments

Payments for Credits and other chargeable InsYte services are processed through the payment method or provider made available within the InsYte application.

Credits will only be treated as purchased once payment has been successfully confirmed.

We may delay or withhold Credits where:

  • payment fails;
  • payment is reversed;
  • fraud is suspected;
  • or the payment provider does not confirm the transaction.

23. Taxes and VAT

Prices will state whether VAT or other applicable taxes are included or added.

The Customer is responsible for providing accurate billing information.

24. Payment records

Customers may be provided with invoices, receipts or transaction records as appropriate.

The InsYte application may provide access to previous purchases and Credit transactions.

25. Refunds

Except where required by law, purchased Credits are not normally refundable once they have been used.

Where unused Credits are eligible for a refund, any refund will normally be returned using the original payment method where practical.

Nothing in these Terms limits any statutory rights that cannot lawfully be excluded.

26. Consumer rights

InsYte is primarily intended for business use.

If you use InsYte as a consumer rather than wholly or mainly for business purposes, you may have additional statutory rights.

Nothing in these Terms removes or limits rights that cannot legally be excluded.

27. Directions

InsYte may generate Directions based upon available information.

A Direction may contain:

  • what InsYte has identified;
  • why it may matter;
  • supporting evidence;
  • a recommended action;
  • priority;
  • Potential Impact;
  • effort;
  • confidence;
  • and other relevant information.

A Direction does not require the Customer to act.

28. Potential impact

Where sufficient evidence exists, InsYte may estimate the potential impact of a Direction.

Potential Impact may relate to:

  • traffic;
  • visibility;
  • enquiries;
  • conversion;
  • sales;
  • revenue;
  • cost savings;
  • advertising efficiency;
  • or another relevant business outcome.

These are estimates. Actual outcomes may differ materially.

29. Competitor intelligence

InsYte may analyse legitimate publicly available, licensed or otherwise authorised information relating to competitors.

Competitor Intelligence may contain both observed information and InsYte's interpretation of that information.

InsYte does not claim access to a competitor's private:

  • analytics;
  • sales;
  • revenue;
  • profits;
  • conversion rates;
  • internal strategy;
  • advertising performance;
  • or other confidential information

unless the information is legitimately available from an appropriate source.

30. Outcome measurement

Where the Customer acts upon a Direction, InsYte may measure relevant performance before and after the action.

This may help InsYte determine whether an improvement, decline, mixed result or no material change was observed.

Measurement periods may vary according to:

  • business type;
  • traffic;
  • data volume;
  • seasonality;
  • the type of action;
  • and the information available.

31. Causation

An observed change following a Customer action does not necessarily mean that the action caused the change.

InsYte may therefore use wording such as:

  • associated with;
  • followed by;
  • consistent with;
  • or observed after.

Other factors may affect business performance.

32. InsYte learning

InsYte may use historical information from the Customer's Account to improve future analysis and Directions for that Customer.

This may include:

  • previous Directions;
  • Customer actions;
  • measured outcomes;
  • performance history;
  • and other relevant Account information.

Customer-specific learning remains associated with the relevant Customer Account subject to our Privacy Notice, data-retention policies and applicable law.

33. Approved actions

Where technically supported, InsYte may allow a Customer to authorise InsYte to perform an action through a connected third-party system.

InsYte will not intentionally make an external change merely because a Direction has been generated.

The Customer must expressly approve an executable action before InsYte performs it.

34. Review before execution

Where appropriate, InsYte will show the Customer:

  • the proposed action;
  • the relevant target;
  • what is expected to change;
  • and other material information

before requesting approval.

35. Customer responsibility for approved actions

The Customer is responsible for reviewing a proposed action before approving it.

Once approved, InsYte may rely upon that approval to perform the specified action.

If the relevant information materially changes before execution, InsYte may require the Customer to review and approve the action again.

36. Unsupported actions

Not every Direction can be executed by InsYte.

InsYte may instead:

  • provide guidance;
  • prepare suggested content;
  • prepare an action plan;
  • or instruct the Customer how to make the change.

We will not represent an action as executable where the necessary technical capability is not available.

37. Customer content

The Customer retains ownership of content and information it provides to InsYte, subject to any rights required by us to provide the service.

The Customer grants Why Go Digital Ltd the rights reasonably necessary to host, process, analyse and otherwise use Customer-provided information for the purpose of providing, securing and improving the InsYte service in accordance with these Terms and our Privacy Notice.

38. Customer responsibility for content

The Customer must ensure that information and content supplied to InsYte:

  • is lawfully obtained;
  • does not infringe third-party rights;
  • does not contain unlawful material;
  • and may lawfully be processed for the intended purpose.

39. Acceptable use

Customers must not use InsYte:

  • for unlawful purposes;
  • to gain unauthorised access to another person's account or systems;
  • to introduce malware or malicious code;
  • to interfere with the operation or security of InsYte;
  • to attempt to circumvent Credits, billing or usage controls;
  • to scrape or systematically extract InsYte data without permission;
  • to reverse engineer protected parts of the service except where applicable law expressly permits it;
  • to impersonate another business or person;
  • or to infringe intellectual-property, privacy or other legal rights.

40. Security

We use appropriate technical and organisational measures designed to protect the InsYte service and personal data.

No internet-based service can guarantee absolute security.

Customers are responsible for maintaining reasonable security over their own systems, devices and credentials.

41. Data protection

Personal data will be handled in accordance with applicable data protection law and the InsYte Privacy Notice.

Depending upon the particular processing activity, Why Go Digital Ltd may act as a data controller, or a data processor on behalf of the Customer.

Where required, additional data-processing terms may apply.

42. Privacy notice

Our Privacy Notice explains how we collect, use, store and protect personal information.

The Privacy Notice is available from https://insyte.info/privacy and from within the InsYte application.

43. Confidential business information

InsYte may process commercially sensitive information relating to a Customer.

We will not intentionally disclose one Customer's confidential business information to another Customer except:

  • with appropriate authority;
  • where legally required;
  • or where information has been lawfully aggregated or anonymised so that the Customer cannot reasonably be identified.

44. Intellectual property

All intellectual-property rights in InsYte, excluding Customer-owned content and third-party materials, belong to Why Go Digital Ltd or its licensors.

This includes, where applicable:

  • software;
  • application design;
  • InsYte branding;
  • methodologies;
  • interfaces;
  • databases;
  • analysis structures;
  • graphics;
  • documentation;
  • and proprietary technology.

Use of InsYte does not transfer ownership of those rights to the Customer.

45. Licence to use InsYte

While the Account remains authorised, we grant the Customer a limited, non-exclusive, non-transferable and revocable right to access and use InsYte for the Customer's legitimate internal business purposes in accordance with these Terms.

46. Service availability

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability.

InsYte may occasionally be unavailable because of:

  • maintenance;
  • upgrades;
  • technical problems;
  • third-party outages;
  • security incidents;
  • or circumstances outside our reasonable control.

47. Changes to InsYte

InsYte is an evolving service.

We may add, modify or remove functionality where reasonably necessary to:

  • improve the service;
  • respond to technical changes;
  • maintain security;
  • comply with law;
  • respond to third-party platform changes;
  • or develop InsYte.

We will take reasonable steps to avoid materially reducing paid functionality without appropriate notice where practical.

48. Suspension

We may temporarily suspend an Account where reasonably necessary because of:

  • security concerns;
  • suspected fraud;
  • non-payment;
  • serious misuse;
  • legal requirements;
  • material breach of these Terms;
  • or risk to InsYte, another Customer or a third party.

Where appropriate, we will explain the reason and provide an opportunity to resolve the issue.

49. Closing an account

A Customer may request closure of its Account.

Before closing an Account, Customers should download any information they wish to retain where export functionality is available.

Account closure and data deletion will be handled in accordance with our Privacy Notice, legal obligations and applicable retention requirements.

50. Unused credits when an account closes

The treatment of unused Credits upon Account closure will follow the refund and Credit-expiry provisions applicable when the Credits were purchased.

Where the Account is terminated because of serious misuse or breach, refund rights may be restricted to the extent permitted by law.

51. Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

Subject to that qualification, Why Go Digital Ltd is not responsible for losses resulting solely from:

  • business decisions made by the Customer;
  • failure to review a Direction;
  • third-party platform changes;
  • third-party service failures;
  • information supplied incorrectly by the Customer;
  • actions taken outside InsYte;
  • or outcomes that differ from an estimated Potential Impact.

Any additional limitation of liability should be interpreted subject to applicable law.

52. Indirect business loss

To the extent permitted by law, Why Go Digital Ltd will not be liable for indirect or consequential business losses that were not reasonably foreseeable when the contract was formed.

Nothing in this section limits liability that cannot lawfully be excluded or limited.

53. Customer indemnity

To the extent permitted by law, the Customer is responsible for claims, losses or costs arising from its unlawful use of InsYte, infringement of third-party rights, or provision of data that it had no lawful authority to provide.

This provision does not apply to the extent the relevant loss was caused by Why Go Digital Ltd.

54. Termination by us

We may terminate an Account where:

  • the Customer commits a serious or repeated breach of these Terms;
  • use of the service is unlawful;
  • continued service creates a material security risk;
  • payment fraud occurs;
  • or we are legally required to terminate the service.

Where appropriate, we will provide reasonable notice.

55. Changes to these terms

We may update these Terms from time to time.

Where a change materially affects existing Customers, we will provide reasonable notice where appropriate.

The current version will be published on the InsYte website and/or within the web application.

The "Last updated" date will identify the current version.

56. Notices

Important Account notices may be provided:

  • within the InsYte application;
  • by email to the registered Account email address;
  • or by another reasonable electronic method.

Customers are responsible for maintaining a current email address.

57. Transfer

The Customer may not transfer its InsYte Account or rights under these Terms to another organisation without our written consent.

Why Go Digital Ltd may transfer its rights and obligations as part of a legitimate restructuring, financing, sale or transfer of the InsYte business, subject to applicable law.

58. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

59. No waiver

If we do not immediately enforce a provision of these Terms, this does not mean that we have waived the right to enforce it later.

60. Entire agreement

These Terms, together with any applicable:

  • Privacy Notice;
  • Data Processing Agreement;
  • Credit/payment terms;
  • and other expressly incorporated service terms

form the agreement governing use of InsYte.

Where a separately signed agreement expressly conflicts with these Terms, the separately signed agreement will take priority to the extent of that conflict.

61. Governing law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction, subject to any mandatory rights that apply under applicable law.
